Terms of Service

These Terms of Service ("Terms") govern your use of the Care One OS platform operated by Omega Life Ltd ("we", "our", "us"). By accessing or using Care One OS, you agree to be bound by these Terms.
1. About the Service
Care One OS is a care management platform designed for UK care providers, including residential care, domiciliary care, supported living, and day services. The platform provides tools for rostering, care records, compliance, reporting, staff management, and related operational functions.
2. Account Registration
To use Care One OS, you must register an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.
3. Acceptable Use
You agree to use the platform only for lawful purposes related to care management. You must not:
- Use the platform in any way that violates applicable laws or regulations.
- Attempt to gain unauthorised access to any part of the platform or its systems.
- Upload or transmit any malicious code, viruses, or harmful content.
- Share login credentials with unauthorised individuals.
- Use the platform to store data unrelated to care operations.
4. Subscription and Payments
Access to Care One OS is provided on a subscription basis. Fees are calculated based on a platform fee plus a per-service-user rate, as outlined in your service agreement. All fees are payable monthly in advance unless otherwise agreed. We reserve the right to adjust pricing with 30 days' written notice.
5. Data Ownership
You retain full ownership of all data you enter into Care One OS. We do not claim any ownership rights over your data. We act as a data processor on your behalf and process data only in accordance with our Privacy Policy and any data processing agreement in place.
6. Service Availability
We aim to provide 99.9% uptime for the platform. However, we do not guarantee uninterrupted access and may need to perform scheduled maintenance or updates. We will endeavour to provide advance notice of any planned downtime. We are not liable for any loss arising from temporary unavailability of the service.
7. Intellectual Property
All intellectual property rights in the Care One OS platform, including its design, code, features, and documentation, belong to Omega Life Ltd. Your subscription grants you a non-exclusive, non-transferable licence to use the platform for the duration of your subscription.
8. Limitation of Liability
To the maximum extent permitted by law, Omega Life Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. Our total liability in respect of any claim shall not exceed the total fees paid by you in the 12 months preceding the claim.
9. Termination
Either party may terminate the subscription by providing 30 days' written notice. Upon termination, we will provide you with an export of your data in a standard format within 30 days. After this period, your data will be securely deleted in accordance with our data retention policy.
10. Changes to Terms
We may update these Terms from time to time. We will notify you of any material changes via email or through the platform. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
